BootDesk Platform Terms and Conditions of Use
This document sets forth the Terms and Conditions of Use for the BootDesk platform. Before accessing and using the Platform, make sure you have understood all the conditions set forth herein. Any questions should be clarified by prior contact with the BootDesk team. After reading, understanding and agreeing to all the content of these Terms and Conditions of Use, you may adhere to them. If you do not agree with these Terms and Conditions of Use, you must immediately stop using the Platform.
Using the Platform implies full, unrestricted and unreserved acceptance of all terms and conditions set forth in this document, including in the event of revisions or publication of new versions.
Master Subscription & Software Services Agreement
By this private instrument of contract ("Contract"), in the best form of Law, being in agreement with all the clauses that follow, having as parties:

b) CLIENT, qualified according to the electronic registration made on the website https://bootdesk.pt/fr/accueil and also in the Order Form(s), which are part of this main instrument, referred to as "CLIENT".
BootDesk and CLIENT are referred to individually and indistinctly as "Party" and jointly as "Parties". For good and valuable consideration, the Parties agree as follows:
1. Definitions
The capitalized terms indicated below shall be used in this instrument with the detailed meaning as follows:
- "Affiliate" means any entity that controls, is controlled by, or is under common control with one of the CLIENT entities.
- "CLIENT" means the CLIENT described above or any of its Affiliates.
- "CLIENT Data" means all electronic data or information submitted by the CLIENT.
- "Malicious Code" means viruses, worms, time bombs, Trojan horses and other harmful code.
- "Non-BootDesk Applications" means online and offline software applications provided by entities or individuals other than BootDesk.
- "Order Form" means the documents periodically formulated under this contract.
- "Platform", "SaaS" or "System" means the products and platform requested by the CLIENT.
- "Users" means the individuals authorized by the CLIENT to use the platform.
- "Breach" means a security breach leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure.
2. User Registration
2.1. Registration information.
To use the features made available by the Platform, the Client must provide specific information about themselves and/or the legal entity they represent.
2.1.1. Updating registration information.
The Client undertakes to promptly respond to any requests regarding registration updates.
2.2. No impediments to adhering to these Terms of Use.
By adhering to these Terms of Use, the Client declares that they have no impediment and that there is no contract or bond of any nature with third parties.
2.3. Confidentiality of Platform access credentials.
The Client is responsible for keeping their Platform access credentials confidential.
2.4. Communication with the Client.
The Client declares that the email, phone and physical address provided to BootDesk through the Platform are equally effective means.
3. Platform and Responsibilities
3.1. Prohibited conduct when using the Platform.
The Client undertakes to use the Platform in good faith and without the intention of committing unlawful acts.
3.2. Access to the Platform.
The Platform is made available through the worldwide computer network, and the Client is solely responsible for the device through which they access it.
3.3. SaaS:
BootDesk shall make the platform available under the terms of this Contract.
3.4. Protection of Personal Data:

13. General Provisions
13.1. Violation of Terms of Use or applicable legislation.
In the event of non-compliance by the Client with any provision of these Terms of Use, BootDesk may interrupt, suspend or cancel access.
13.2. Late payment.
Late payment shall subject the amounts due to interest of 1% per month, a fine of 2% and monetary correction.
13.3. Independence of the parties.
These Terms of Use do not establish any form of association, franchise, partnership or joint venture.
13.4. Assignment.
The Client may not assign or transfer to third parties the rights and obligations arising from these Terms of Use.
13.5. Revisions or updates.
BootDesk may change these Terms of Use at any time.
13.12. Jurisdiction.
In case of disputes or disagreements, the jurisdiction of the District of Ponte da Barca, Viana do Castelo, Portugal is elected.
This Contract shall be deemed entered into and binding between the Parties when the CLIENT completes their registration, and the CLIENT declares that they have read and understood all the terms and conditions of this Contract.
